I. Definitions, General Enquiry
Use of the terms “we” and “us” in these Terms means Shrx, a website accessible from https://shrx.me/.
Use of the term “Site” means the website Shrx, accessible from https://shrx.me/.
“Account” is a registered account of an advertiser or a website publisher on Shrx Site. Use of the term “Terms” means the described below terms and conditions. “Content” – data, text, images, sound, video and other information and materials. “Copyright Information” – the content, organization, graphics, design, compilation, and other matters related to Shrx and the Site. “Trademarks” – all trademarks, service marks, logos, trade names, and any other proprietary designations of Shrx. Shrx will provide the advertisers and website publishers with access to the Site, where they can buy and sell ads.
II. Publisher Information
Before the approval and application of Publisher's website to demand partners (Advertiser), Shrx has the right to ask the publisher to provide proof that they are the sole owners or managers of the website applied, or to provide statistics of their traffic.
In case of deductions during the payment process, Shrx reserves the right to view all locations of the tags on the Publisher's website and any detailed information about how traffic was coming to the website. Disagreeing to cooperate on this matter may result in cancellation of Payment or a hold (More in VIII).
Shrx requires payment in advance for all Advertiser accounts. Advertisers must initially fund their accounts in order to activate them, no limits to the amount. All accounts that have no deposited funds are placed on hold and all the advertising campaigns are stopped, until the account is funded.
IV. Copyright Information and Trademarks
The copyright information is protected under applicable copyright, trademark and other proprietary (including but not limited to intellectual property) rights. All of the trademarks of Shrx are pending patent and their use, without Shrx’s prior written consent, is strictly prohibited. You do not acquire ownership rights to any content or other materials viewed through the Site and you agree not to display or use in any manner the material on the Site.
V. Conditions for Usage
Being a publisher or a seller of ads, in connection with your Account, you agree to:
Comply all the applicable local, state, national and international laws and regulations that relate with your use of or activities on the Site.
Install and use Shrx’s ad serving code on your website at all times that you publish or sell ads through the Site;
Accept Shrx’s terms for release of statistical information. You agree that such statistics are estimates only and are subject to revision for reasons to processing errors or the discovery of fraudulent clicks, and that updates of statistics are generally released, but not guaranteed, for several times a day;
Notify us via email if you wish to close your Account;
Accept Shrx’s terms for payment, cash outs, as described in the Account registration process on the Site.
Being a publisher or a seller of ads, in connection with your Account, you agree NOT to:
Provide false, inaccurate or misleading information, impersonate any person or entity, or otherwise misrepresent your affiliate with a person or entity;
Violate any applicable law, statute, ordinance, or regulations;
Offer or disseminate fraudulent goods, services, schemes, or promotions or engage in any unfair deceptive act or practice;
Violate any confidentiality or nondisclosure obligations you have with other parties; infringe any party’s copyright, patent, trademark, trade secret or other intellectual property rights;
Offer any form of adult, sexually-oriented, or obscene content or services, including without limitation, any pornographic materials, any materials which require individuals to be 18 or older to view or purchase, any escort services, and any adult websites;
Offer any form of gambling;
Use any deceptive implementation methods to obtain clicks, whether manual or automated, including but not limited to clicking your own ads, asking others to click ads, offering compensation to users for viewing ads or performing searches, promising to raise money for third parties for such behavior or placing images next to individual ads, or using robots or other automated tools;
Take any action that imposes an unreasonable or disproportionately large load on our infrastructure;
Disrupt or interfere with the security of the Site, or any services, system resources, accounts, servers or networks connected to or accessible through the Site or affiliated or linked Web sites;
Facilitate any viruses, Trojan horses, worms or other computer programming routines that may damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or information, or use any device, software or routine to attempt to interfere with use of the Site;
Take any action that may cause Shrx to lose any of the services from its internet service providers, payment processors, or other suppliers.
All content in advertisements bought or sold through this Site, whether publicly posted or privately transmitted, are the sole responsibility of the party from which such Content originated. Under no circumstances will Shrx be liable in any way for any Content. You agree that you must evaluate and bear all risks associated with the use of any Content. You are solely responsible for all Content that you submit to be placed as advertising or that you upload, post, display, email, transmit or otherwise make available through the Site. Shrx does not control the Content and does not guarantee the accuracy, integrity or quality of any Content. Shrx reserves the right to terminate or limit your access to services at its own discretion.
VIII. Publisher Payments
The Publisher can receive payment from Shrx within 50 days after the end of the month. The payment will be counted for the actual number of impressions approved by Shrx and served on the Publisher’s inventory. Prior that, Shrx receives the payment from the advertiser on the Publisher’s behalf.
There is a minimum limit of payment established for the Publisher that accounts for $100. In order to receive the payment it is important to be sure the sum has reached essential minimum level on Publisher’s account.
If any Advertiser decides to hold the payment, Shrx is not responsible for the delay in payments sent to the publisher. The Publisher should be alerted of any delays in their payments.
The Shrx party functions as Ad Exchange, therein it depends on the Advertisers to proceed the payment before Shrx will be able to pay the Publisher. From its part Shrx will make all possible efforts to ensure the payment share that belongs to the Publisher is paid in time, that is within 50 days after such payment obtained from Advertiser.
The Publisher needs to acknowledge the fact that Shrx operates only as a service provider and as the agent for Advertisers. Shrx can be accountable only for the revenues actually obtained from the Advertiser which represent funds that can be immediately obtained. Shrx fully embraces the responsibility to control the billing process and the procedure of payment collection from the Advertiser to make it timely and unobstructive. The right to quit the payments can be reserved by Shrx in cases the terms and conditions of service were severely violated by Publisher. Clicks on house banners are not subjected to payment by Shrx and will not bring the revenue to the Publisher.
If your Account is inactive for a three-month period (i.e., you did not log into your account or provide any impressions for 3 months), your Account balance will be charged an inactive fee; your balance will become $0 and your account will be closed. Shrx may, but has no obligation to, give you prior notice of the imposition of any inactive fee.
Shrx can’t be held accountable for the purchases committed by Advertiser, thus can’t guarantee that Publisher’s inventory will be purchased.Accordingly, payment for the display of each Advertisement is strictly subjected to and conditional upon the payment of fees for the same Advertisement (“Ad revenue”) by the relevant Advertiser. Same way, the payment procedure for the advertisement display is subjected to the fees and “Ad revenue” fees payment by Advertiser.
Thus, Shrx should not be kept liable for the full payment in case some segment of it wasn’t provided by the Advertiser. In other words, the Publisher must accept that Shrx is not responsible for the insufficient revenue delivered from the Advertiser to the Publisher through the system.
Fraudulent impressions. In case Shrx finds out that the level of fraud in served impressions exceeds 10%, the invoice payments can be cancelled and suspended. The suspended payments will be considered frozen till the case is not investigated and the mutual decision is not found by the parties.
IX. Materials Provided
HTML tags. Using Shrx services the Publisher agrees to place the string of HTML code on the website or separate pages of it that will be used for the advertising delivery. Shrx fully prohibits modification of this code string on the inventory unless the parties agree on that in written consent. The HTML code string provided by Shrx should not be used or shared on any other source except the webpage or the site it was placed on initially, including the chat rooms, emails or newsgroups as it may result in the wrong code execution. The Publisher also agrees to avoid using specific marketing practices such as Run On Network and others in case such practices usage wasn’t discussed and agreed upon in the written form with Shrx. The violation of this rule may lead to the blocking of revenue, website declines or the personal account suspension with no subsequent traffic compensation from Shrx.
Ad and click fraud. The Publisher acknowledges that any fraudulent activity aimed at augmenting the number of clicks is strictly prohibited and can bear severe consequences, regardless of intent, means or form of execution. As Shrx’s advertising platform is in charge of counting the total number of impressions served and the revenue generated, the total sum that should be paid to the Publisher will be defined referring to the system’s indications combined with Publisher’s data assessed by Shrx. To such prohibited methods can be attributed: manipulations with click destinations for ad-banner’s, redirection of users to different pages, browser auto-spawning, blind text links, other practices determined by Shrx as harmful or unacceptable and affect impressions or click-through rates. On the automatically reloading pages the ad placement is also not accepted. Please do not ask the users to click on the certain areas of the website, don’t incentivise them to click on the advertising materials before they visit your website. Clicking on different links than those were provided by Shrx’s Advertising Material or applying artificial click/visit boosters may inflict the sanctions on the Publisher ending with account and all payments termination. The decision of the termination is absolutely due to consideration of Shrx team.
